He studied and practiced as a Civil Engineer in the UK, Germany, Switzerland and Southern Africa, then gained an MBA from London Business School and a Diploma in International Business from HEC, Paris and the Stern School in New York. After several years as a manager and director of venture capital funds in London, England, he formed an advisory company specializing in corporate rescue, investment banking and project finance. International deal making or management experience has been gained in the UK, USA, Germany, France, Austria, Russia, Vietnam, Bulgaria, Czech Republic and Qatar. A successful interim manager and director of computer related and high-tech companies, he is accomplished in company valuation, due diligence and corporate structuring and has a strong appreciation of the technology aspects of the businesses of today. He has the Chartered Financial Analyst designation. |

| Granted an MBA from the University of Western Ontario in London, Ontario, and a C.A. (Chartered Accountant) designation in Canada, Ray Moore owned and managed his own public accounting practice before providing general business consulting services through a private consulting business. As well, he fulfilled the roles of CFO and project manager for an engineering consulting business engaged mainly in providing services to the international brewing industry, and acted as a project manager for information technology projects for a European software house operating in North America. Most recently he acted as CFO for an Asian electronic contract manufacturer and a large film services company. His business career has caused him to work in Europe, North America and Asia. |

| Formally the Partner in Charge of Ernst & Whinney's management consulting division in British Columbia. After a series of mergers Bob was a line partner in Stevenson Kellogg Ernst & Whinney; Peat Marwick Stevenson & Kellogg; and KPMG. He specializes in financial & operational restructuring, work-outs & viability assessments; strategic planning; business counsel to the owner-operator; organizational restructuring, and translating corporate strategy into effective compensation tactics. Bob Turner attended the University of Toronto where he received his Bachelor's degree in Industrial Engineering, later attaining his MBA from York University. Bob runs a large TEC group of CEOs in Vancouver. |

| Rohays graduated in Commerce from Edinburgh University and worked in International and Corporate Banking in London, England for Hill Samuel, Bank of America, and Royal Bank of Canada. She moved to Canada as a Vice President of RBC and ran the lending team for major corporate commercial loans in British Columbia. Since leaving the bank, Rohays has widened her interest in risk management to enterprise-wide analysis and has further developed her corporate governance work. She has served on Charitable and Federal Boards. |

| After earning a BA with an economics major at The University of Toronto, Mr. Kluwak completed law school, and co-founded and managed the firm Bastedo, Cooper, Kluwak. He appeared as counsel at all levels of court including many cases in the Supreme Court of Canada. This broad range of experience gained while advocating for troubled businesses, gives him a unique perspective and considerable insight into a variety of meaningful corporate issues. These intangible attributes are invaluable when advising on corporate mergers, acquisitions, and financings in the context of corporate restructuring and strategic planning. Real estate is of special interest and since 1979 he has identified, structured, financed and managed a number of real estate investments in Canada and the United States. He is currently based in the Toronto area. |
